Waterloo, Ontario-based Descartes Systems Group (NASDAQ: DSGX ) has acquired KSD Software Norway AS, a company described as a "leading Scandinavia-based provider of electronic customs filing solutions for the European Union ('EU')."
On Thursday, Descartes -- itself a logistics technology solutions provider -- announced that it has paid $33 million to acquire KSD, a price offset somewhat by the $2 million in working capital that came with KSD. In addition to the cash, KSD brings with it a customer base of more than 1,300, most based in Scandinavia.
Edward Ryan, Chief Commercial Officer at Descartes, noted that KSD has about $10 million in annual recurring revenues. He suggested that the purchase price Descartes is paying approximates 3.1-times annual sales -- a significant discount to the 5.2x sales valuation at Descartes, proper.
Perhaps in response to the apparent good deal Descartes is getting, the company's shares rose 2.8% in Thursday trading, to close at $10.73.

Aside from the VOXX International Corp earnings report, it should be said that Harman International Industries Inc reported Q3 2014 earnings on May 1st (they beat expectations�and raised their forecast on strong European automotive demand) and will report Q4 2014 earnings on August 7th; Skullcandy Inc reported Q1 2014 earnings on May 1st and will report Q2 2014 near the end of this month; and Turtle Beach Corp reported Q1 2014 earnings on May 12th. However, VOXX International Corp�� last earnings report was a train wreck that led to several analyst downgrades.

Another under-$10 stock that's starting to trend within range of triggering a big breakout trade is Turtle Beach (HEAR), which is engaged in developing, commercializing and marketing audio technologies under the Turtle Beach and HyperSound brands in the U.S., Europe and internationally. This stock has been hit hard by the sellers so far in 2014, with shares off sharply by 29%.
If you take a look at the chart for Turtle Beach, you'll notice that this stock recently formed a triple bottom chart pattern at $9, $9.04 and $9.28 a share. Since forming that bottom, shares of HEAR have started to spike higher back above its 50-day moving average of $9.75 a share. That spike is quickly pushing shares of HEAR within range of triggering a near-term breakout trade.
Market players should now look for long-biased trades in HEAR if it manages to break out above some near-term overhead resistance at $10.08 to $10.50 a share with high volume. Look for a sustained move or close above those levels with volume that hits near or above its three-month average action of 195,008 shares. If that breakout gets underway soon, then HEAR will set up to re-test or possibly take out its next major overhead resistance levels at $11 to $11.40 a share. Any high-volume move above $11.40 will then give HEAR a chance to re-fill some of its previous gap-down-day zone from April that started near $13.50 a share.
Traders can look to buy HEAR off weakness to anticipate that breakout and simply use a stop that sits right below those triple bottom support levels. One can also buy HEAR off strength once it starts to clear those breakout levels with volume and then simply use a stop that sits a comfortable percentage from your entry point.

Earnings and valuation continue to look attractive
Alaska Airlines continues to impress investors with each earnings report. In its most recent filing for Q4 2013, the company reported record earnings of $78 million, a 68% increase over the prior year's quarter. The positive earnings were driven primarily by a 7% increase in revenue. When a company can increase earnings so significantly, it can offset a rise in the stock in terms of relative valuation, and we see this phenomenon at work with Alaska Airlines. When we reviewed the company's stock in November, ALK traded at 11.3 times trailing 12-month earnings. Since then, even after its price appreciation of more than one-fourth of its value, the airline's P/E ratio has remained in the same ballpark, at 13.0. This compares favorably to the peer group we previously compared ALK to. Western Gas Equity Partners, LP, incorporated on September 11, 2007, was formed to own three types of partnership interests in Western Gas Partners, LP (WES). WES is a limited partnership formed by Anadarko Petroleum Corporation to own, operate, acquire and develop midstream energy assets. As of December 31, 2011, the Company had no independent operations. On January 13, 2012, WES acquired 100% interest of Mountain Gas Resources LLC (MGR). On August 1, 2012, WES acquired 24% interest of Chipeta Processing LLC (Chipeta).

The exact same setup is potentially giving traders a reason to jump into shares of $8.5 billion midstream gas company Western Gas Equity Partners (WGP). Just like Flotek, WGP is forming a textbook channel up. And this week, Western Gas is testing trendline support.
It's a little too early to call WGP's trendline buyable here. At some point, all trends eventually fail -- and when this one does, you don't want to be left holding the bag. A bounce this week will be a good indication that WGP can still catch a bid at this price level. When and if that happens, I'd recommend keeping a tight protective stop in place just below WGP's most recent swing low at $38.
While the 50-day moving average has been crossing paths with WGP quite a bit in the last month, I'd recommend ignoring it. The average hasn't acted as a meaningful support or resistance level to date. In the case of this particular name, it's just not technically relevant.

The Black Warrior Basin is a coalbed methane basins in the country. The multi-seam vertical wells in the basin range from 500 to 3,700 feet deep, with coal seams averaging a total of 25 to 30 feet of net pay per well. As of December 31, 2011, the Company owned a 100% working interest (an approximate 75% average net revenue interest) in its wells in the Black Warrior Basin, where the Company had 507 producing natural gas wells. The Black Warrior Basin is located in western Tuscaloosa County and Pickens County, Alabama, and encompasses a surface area of approximately 109 square miles. The field has been developed on 80-acre spacing. As of December 31, 2011, the Company was developing its properties in the field on both 40- and 80-acre spacing. The field has seven compressor stations with 800-1,200 horsepower compressors, approximately 170 miles of gas gathering lines (wells to header) and approximately 25 miles of trans! portation lines (header to compressor). In addition, there are approximately 152 miles of water gathering pipes and 28 miles of water transportation pipes. As of December 31, 2011, the Company's estimated proved reserves in the Black Warrior Basin were approximately 84.9 billions of cubic feet equivalent, approximately 88% of which were classified as proved developed, and all of which are natural gas.
Cherokee Basin
The Cherokee Basin is located in the Mid-Continent region in southern Kansas, northern Oklahoma, and western Missouri. It covers approximately 26,500 square miles. The production is natural gas produced from coals and shales. There are multiple producing coal zones in the Cherokee Basin, including the Rowe, Riverton, Weir-Pitt, and Dawson zones. In addition, there are other productive shale zones, as well as conventional sandstone and limestone potential, which can add natural gas and oil production. As of December 31, 2011, the Company owned approximately 2,261 net producing wells in the Cherokee Basin. The Company operates in excess of 20 booster compressors and stations to gets its natural gas to sales points owned by ONEOK Gas Transportation, L.L.C., Scissortail Energy, LLC, Enogex Gas Gathering & Processing, LLC, Enogex Inc., and Southern Star Central Gas Pipeline, Inc. The Company operates a substantial portion of its production in the Cherokee Basin. The Company also own a 50% working interest in wells operated by Bullseye Operating, L.L.C. (Bullseye) and a 50% interest in Bullseye itself. Bullseye operates approximately 500 gross wells in Washington and Nowata Counties in Oklahoma and sells its production through the Cotton Valley producers cooperative, Cotton Valley Compression, L.L.C. The Company's gross working interest in its Cherokee Basin properties is approximately 80%, with its average gross working interest in its operated properties being approximately 100% and its average gross working interest in its non-operated Cherokee Basin properties being a! pproximat! ely 50%. As of December 31, 2011, the Company's estimated proved reserves in the Cherokee Basin were approximately 110.7 billions of cubic feet equivalent, approximately 66% of which were classified as proved developed, and 95% of which were natural gas and 5% of which were oil.
Woodford Shale
The Woodford Shale is located in the Arkoma Basin in southern Oklahoma. As of December 31, 2011, the Company owned 82 well bores, or approximately 9 net producing wells, located in Coal and Hughes counties. This area is gas-rich and is characterized by multiple productive zones. The production of natural gas in the Woodford Shale comes from shale rock that has been stimulated through fracturing jobs after a horizontal well has been drilled. As of December 31, 2011, the Company's 82 wells had an average gross working interest of 11.3% and an average net revenue interest of 9.1%. Approximately 90% of the wells are operated by affiliates of Devon Energy Corporation (Devon) and Newfield Exploration Mid-Continent, Inc. (Newfield), with the remaining wells operated by three additional companies. As of December 31, 2011, the Company's estimated proved reserves in the Woodford Shale were approximately 5.2 billions of cubic feet equivalent.
Central Kansas Uplift
The Central Kansas Uplift is an oil prone region located in Kansas and southern Nebraska. As of December 31, 2011, the Company had a gross acreage position of 4,345 acres, or approximately 1,050 net acres and the Company owned 39 gross wells, or approximately 8 net producing wells. Murfin Drilling Company, Inc., an oil producer in Kansas, operates all of the Company's wells in this region. During the year ended December 31, 2011, the average gross working interest in the wells is approximately 21% and the average net revenue interest is approximately 17%. As of December 31, 2011, the Company's proved reserves in the Central Kansas Uplift were approximately 0.5 billions of cubic feet equivalent, approximately 88%! of which! were classified as proved developed and all of which were oil.

The ceiling value on this contract is $7 billion, thus accounting for 84% of the value of all Pentagon contracts awarded yesterday.
